Welcome to Starsonic Marketing! These Terms of Service (“Terms”) are a legal agreement between you (“Client,” “you,” or “your”) and Starsonic Marketing LLC, a Canadian limited liability company (“Starsonic,” “Company,” “we,” “us,” or “our”), governing your use of our website (www.starsonicmarketing.com) and our AI-powered marketing services.

By signing up, using our services, or accessing our site, you agree to these Terms.


1. Definitions

For clarity, here are some terms you’ll see throughout this agreement:

“Services” means the AI voice agents, AI chatbots, marketing automation, integrations, software tools, setup, support, and any related offerings we provide.

“AI Systems” means any automated agents, machine learning models, or bots created or maintained by Starsonic.

“Client Data” means any data you provide to us, including customer data, training data, usage data, and marketing content.

“Third-Party Tools” refers to platforms like GoHighLevel, Twilio, Google Cloud, Meta, etc., that we may integrate with to deliver our Services.

“Agreement” refers to these Terms of Service.


2. Our AI Services and Limitations

Starsonic offers AI-based marketing solutions. While we strive for high performance, AI technologies are probabilistic—they may produce errors, require ongoing refinement, and should not be relied on for mission-critical functions without human oversight.

We do not guarantee 100% accuracy, and you acknowledge that AI responses may occasionally be inappropriate, incorrect, or require human review.


3. Payment Terms

Billing Model: Our services are billed on a monthly recurring basis, with fees depending on the selected package.

Setup Fees: One-time onboarding or setup fees may apply and will be disclosed before services begin.

Payment Methods: Payments must be made via credit card or approved online payment systems. Late payments may result in suspension or termination of Services.

Taxes: You are responsible for all applicable taxes unless otherwise stated.


4. Client Responsibilities for AI Training Data

You agree to provide accurate, lawful, and relevant data to help us train or fine-tune AI systems for your use. You retain ownership of your data, but grant us a non-exclusive, royalty-free license to use, process, and modify your data solely to provide the Services.

You are responsible for obtaining any necessary consents or permissions from your customers to use their data.


5. Intellectual Property

Starsonic retains ownership of all AI models, software, tools, and documentation we create.

You own all Client Data and original content you provide.

Custom AI models developed specifically for you using your data may be shared upon request, but underlying model architecture remains Starsonic’s IP.

You may not reverse engineer, replicate, or resell our proprietary systems without written permission.


6. Data Privacy and Security

We use secure encryption and standard safeguards to protect your data. However, you understand no system is 100% secure. You agree not to send sensitive personal information (e.g., credit card numbers, health records) through our systems unless otherwise agreed upon.

Our privacy practices comply with Canadian privacy law (PIPEDA) and are outlined in our Privacy Policy.


7. Limitation of Liability for AI Services

We are not liable for any indirect, incidental, or special damages (including lost profits or data loss) resulting from use or misuse of our AI Services.

Our maximum liability under this agreement will not exceed the total fees you’ve paid in the last 3 months.


8. Termination

Either party may terminate this agreement with 14 days' written notice. Immediate termination may occur if:

You violate these Terms

You fail to pay

You engage in illegal or abusive use of our Services

Upon termination, your access will be revoked, and data may be deleted after 30 days unless otherwise requested.


9. Dispute Resolution

You agree to resolve any disputes through binding arbitration in Ontario, Canada, rather than in court. This includes disputes about the Terms or use of our Services.

Each party is responsible for its own legal fees. Either party may seek temporary injunctive relief in court if necessary.


10. Service Levels and Uptime

We aim for 99% uptime, excluding scheduled maintenance and outages caused by third parties (e.g., GoHighLevel, cloud providers).

Support is provided during standard business hours (9am–5pm EST). Urgent issues may be escalated via email.

We are not responsible for downtime or disruptions caused by your internet connection, hardware, or third-party platforms.


11. Third-Party Integrations

Our Services may depend on integrations with tools such as:

GoHighLevel

Google Cloud / AWS / Azure

Twilio / Meta / OpenAI APIs

You agree to comply with those platforms’ terms of use. Starsonic is not responsible for third-party service failures or policy changes that impact your performance.


12. Refund Policy

We do not offer refunds for setup fees, partial months, or unused time. However, if you cancel within 7 days of initial signup, a full refund may be granted at our sole discretion.

13. Indemnification

You agree to indemnify and hold harmless Starsonic and its affiliates from any claims, damages, or liabilities arising from:

Your misuse of the Services

Violations of law or regulation

Infringement of third-party rights due to your content or data

Failure to obtain necessary consents for AI or marketing communications


14. Compliance with Communication Laws

You are responsible for ensuring all marketing campaigns comply with local, national, and international communication laws, including:

Canada’s Anti-Spam Legislation (CASL)

Telephone Consumer Protection Act (TCPA)

General Data Protection Regulation (GDPR) (if applicable)

Starsonic offers tools, but you are ultimately responsible for how those tools are used and for obtaining proper opt-ins.


15. Changes to These Terms

We may update these Terms at any time by posting a revised version on our website. Continued use of our Services after changes means you accept the new Terms.
